Membership Agreement: By joining GrowMart mercantile, you agree to abide by the terms and conditions outlined herein.
Membership Eligibility: Individuals must be of legal age and have the capacity to enter into a binding contract to participate in GrowMart mercantile business activities.
Compensation Plan: Participants will earn commissions based on product sales generated through their network. The affiliate program outlines the commission structure, payment terms, and the eligibility criteria for earning commissions. Commissions are typically based on the sales generated through the affiliate's unique identifier. The compensation plan details the structure and rates applicable.
Purchase and Sales: Members are required to purchase products for personal use and sales. Genuine product transactions are essential for commission eligibility.
Compliance with Laws: Members are responsible for complying with local, regional, and national laws related to company and product sales. Any legal implications arising from non-compliance are the sole responsibility of the member.
Intellectual Property: All marketing materials, trademarks, and proprietary information provided by GrowMart mercantile are the intellectual property of the company and must not be used without prior written consent. Affiliates are granted a non-exclusive, non-transferable right to use approved marketing materials and trademarks solely for the purpose of promoting the GrowMart products. Unauthorized use of intellectual property is strictly prohibited.
Affiliates Policy:
i) Eligibility: Individuals or entities interested in becoming affiliates must meet the criteria outlined in the affiliate program. Eligibility requirements may include age, legal capacity and adherence to program guidelines.
ii) Application Process: Prospective affiliates must complete the application process, providing accurate and up-to-date information pertaining to name, copy of national ID (pan card/ Adhar card) and Copy of Bank details. GrowMart mercantile reserves the right to approve or reject applications at its discretion.
iii) Approval and Termination: Upon approval, affiliates will receive a unique identifier and access to marketing materials. The company reserves the right to terminate affiliate agreements for violations of policies, unethical conduct, or failure to meet performance standards.
iv) Code of Conduct: Affiliates are expected to conduct themselves ethically, adhering to the principles of honesty and integrity. Misrepresentation of products or the GrowMart business program, as well as any form of deceptive marketing, is strictly prohibited.
v) Marketing Practices: Affiliates must comply with local, regional, and national laws governing marketing practices. Misleading claims, spam, and any form of unethical promotional activities are not permitted.
vi) Income Disclosure: Realistic income expectations will be provided and participants are advised not to make exaggerated income claims. Actual earnings may vary based on individual effort and market conditions.
Affiliate Team Rules:
i) Team Structure: The affiliate team operates on a structured hierarchy, with team leaders, mentors and members. Each member's role and responsibilities are clearly defined within the team structure.
ii) Communication: Regular and effective communication is crucial within the affiliate team. Team members are expected to participate in team meetings, respond promptly to messages, and collaborate to achieve common goals.
iii) Training and Development: Team leaders and mentors are responsible for providing training and guidance to their team members. Ongoing education and skill development programs may be implemented to enhance the capabilities of the affiliate team.
iv) Non-Compete Agreement: Team members may be subject to a non-compete agreement, restricting their involvement in competing MLM or direct selling businesses during their affiliation with the team and for a specified period after termination.
v) Recognition and Rewards: Exceptional performance and achievements within the team are recognized and rewarded. Incentive programs may include bonuses, promotions, or other forms of recognition to motivate team members.
vi) Compliance with Team Rules: Team members are required to comply with both the general affiliate policy and any additional team-specific rules. Failure to adhere to these policies may result in disciplinary action, including termination from the team.
Payments and Reports: GrowMart mercantile will provide affiliates with accurate and timely reports on sales and commissions. Payments will be made in accordance with the agreed-upon schedule and payment methods.
Confidentiality: Affiliates must maintain the confidentiality of sensitive business information, including but not limited to trade secrets, customer data, and marketing strategies.
Termination of Membership: Membership can be terminated for violations of the terms and conditions, unethical conduct, or failure to meet sales requirements. Termination may result in the forfeiture of commissions.
Dispute Resolution: Any disputes arising between members and the company will be resolved through arbitration in accordance with applicable laws.
Arbitration Clause: Any dispute, controversy, or claim arising out of or in connection with the business, including but not limited to issues related to membership, compensation, or contractual matters, shall be resolved through binding arbitration in accordance with the rules of arbitration agreed upon by both parties.
i) The arbitration proceedings shall be conducted by a neutral arbitrator appointed jointly by the parties or, in the absence of agreement, by a reputable arbitration service.
ii) The arbitration shall take place in [City], [Jurisdiction], unless both parties mutually agree otherwise.
iii) Each party shall bear their own costs associated with the arbitration, including attorney fees, unless the arbitrator decides otherwise.
iv) The arbitrator's decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
iv) This arbitration clause is deemed a material part of the agreement, and failure to abide by the arbitration process outlined herein may result in the forfeiture of any claims.
This arbitration clause ensures a fair and efficient resolution of disputes, promoting a quicker and less formal process than traditional litigation, thereby reducing the burden on both parties involved with GrowMart mercantile.
Indemnification: Affiliates agree to indemnify and hold harmless the company from any claims, losses, or damages arising from their actions or conduct as affiliates. By participating in the GrowMart mercantile affiliate program, affiliates acknowledge that they have read, understood, and agree to abide by the terms and conditions outlined in the affiliate policy.
Governing Law: The terms and conditions are governed by the laws of [Jurisdiction]. Any legal actions will be subject to the exclusive jurisdiction of the courts in [Jurisdiction].
Modification of Terms: GrowMart mercantile holds all the rights to amend or remove any of the clauses with regards to compensation plan, policy, terms & conditions to protect the interest of the business. Without any prior notice. Members will be notified of any changes, and continued participation implies acceptance of the modified terms.
